1. Acceptance of Orders

All sales by LNS entities are governed by these Terms and Conditions. By placing an order, the buyer agrees to these terms. No other terms (e.g., buyer’s purchase order language) shall apply unless agreed to in writing by LNS.

2. Quotations and Pricing

Quotations are valid for 30 days unless otherwise stated. Prices are exclusive of VAT, import/export duties, tariffs, freight, and insurance unless stated otherwise. Prices may vary based on exchange rate, volume, and shipping method.

3. Shipping and Delivery

Unless otherwise agreed, delivery terms are FCA (Incoterms 2020) from the shipping entity’s facility (China, USA, or Mexico). Risk transfers upon handover to the carrier. LNS is not liable for delays due to customs, force majeure, or third-party logistics.

4. Lead Time and Partial Shipments

Standard sensor lead time is 14 business days; cable assemblies 7 days. LNS may ship partial orders. Estimated ship dates are not guaranteed.

5. Payment Terms

Unless otherwise agreed in writing, payment in full is required prior to shipment. Orders will not be scheduled for production or shipment until payment has been received and cleared.

  • All payments must be made in the currency stated on the invoice.
  • LNS reserves the right to delay or cancel shipments for unpaid or partially paid orders.
  • Bank transfer fees, exchange rate differences, or local taxes are the responsibility of the buyer.
  • Credit terms (e.g., NET 30) may be extended only by written agreement following credit review.

6. Title and Risk

Title passes upon full payment. Risk of loss transfers at shipment per Incoterms. Claims for loss/damage must be made within 7 days of receipt.

7. Warranty

LNS Intelligent Technology Co., Ltd. and its affiliated entities (LNS Dynamics LLC and LNS Dynamics Latinoamérica S. de R.L. de C.V.) warrant that all LNS-branded products shall be free from defects in material and workmanship under normal use and service, subject to the conditions stated herein.

Warranty Periods:

  • Accelerometers under 1000g: 24 months from shipment date
  • Accelerometers over 1000g: 12 months from shipment date
  • Pressure sensors: 24 months from shipment date
  • Force sensors: 24 months from shipment date
  • Signal conditioners and electronics: 12 months from shipment date
  • Cables and adapters: 12 months from shipment date
  • Repair and calibration services: 90-day workmanship guarantee

This warranty is provided to the original purchaser and is non-transferable.

LNS will, at its discretion, repair, replace, or issue credit for any item found defective within the warranty period due to workmanship or material failure.

Limitations and Exclusions:

The warranty does not apply to:

  • Products damaged by misuse, improper installation, over-range exposure, or mechanical/electrical shock
  • Modified, tampered, or disassembled units
  • Failures due to environmental stress (extreme heat, chemicals, corrosion, etc.)
  • Accessories or consumables used with third-party systems
  • Shipping damage occurring after delivery to buyer

LNS is not liable for indirect, incidental, or consequential damages, including loss of business, downtime, or labor costs. In all cases, LNS’s total liability is limited to the original purchase price of the product.

No distributor, agent, or representative is authorized to modify this warranty without written approval from LNS headquarters.

8. Returns and Cancellations

Returns must be pre-approved with a Return Material Authorization (RMA). Custom and special-order products are non-cancellable and non-returnable. Cancellations may incur a fee of up to 50% of the order value.

9. Export Compliance

The buyer agrees to comply with all applicable export laws and regulations. LNS may cancel any order subject to government restrictions or sanctions.

10. Limitation of Liability

LNS shall not be liable for indirect, incidental, or consequential damages. In all cases, LNS’s liability is limited to the value of the goods sold.

11. Intellectual Property

All designs, drawings, and software remain the property of LNS. No transfer of intellectual property rights is granted without written agreement.

12. Governing Law

Sales are governed by the laws of the entity fulfilling the order. Disputes shall be resolved in the jurisdiction of the selling entity’s principal office.

13. Force Majeure
LNS shall not be held liable for any delay or failure in performance (including delay in shipment or service) due to causes beyond its reasonable control. This includes, but is not limited to:

  • Acts of God (e.g., earthquakes, floods, fires)
  • War, terrorism, civil unrest, or embargoes
  • Governmental actions, customs delays, or export license issues
  • Pandemic-related shutdowns, factory closures, labor shortages
  • Transportation disruptions, port congestion, or supply chain delays
  • Power outages, raw material shortages, or third-party failures

LNS will promptly notify the buyer of any such event and make reasonable efforts to minimize its impact. Delivery timelines may be extended by the period of disruption. If a force majeure event continues for more than 90 calendar days, either party may cancel the affected portion of the contract in writing without liability, except for payment obligations already due.
